SCF Build Referral Program Terms & Conditions

1. Program Overview

The SCF Referral Program (“Referral Program”) enables approved individuals or organizations (“Referrers”) to recommend prospective applicants (“Referred Parties”) to the Stellar Community Fund (together with its governance body, “SCF”). Referrals are tracked via unique referral codes and/or a referral submission form. The specific rules and terms below (“Referral Rules”) supplement the SCF Official Rules and SCF Handbook, which are incorporated herein by reference, and help define the relationship among Stellar Development Foundation (“SDF”, “we”, or “us”), SCF, the Referrers and the Referred Parties. The Referrers and the Referred Parties represent and warrant respectively that you have read and understood the Referral Rules, the SCF Official Rules and the SCF Handbook, have consulted any necessary independent advisors and agree to comply with all applicable terms and requirements.

2. Eligibility

2.1 Referrer Eligibility. Participation is limited to Referrers who are explicitly approved and onboarded by the SCF/Ecosystem Growth team. Approval may be granted to community members, Ambassadors, Navigators, Pilots, partners, ecosystem contributors, and/or SDF personnel where applicable, at SCF’s sole discretion.

2.2 Referred Party Eligibility. Referred Parties must meet SCF eligibility requirements for the applicable round/cycle.

3. No Impact on Funding Decisions

3.1 Independence of SCF Decisions. Referrals are an important part of the SCF application process and may be considered as part of the evaluation. However, referrals do not guarantee acceptance into SCF, selection, funding, or any other benefit. Funding decisions remain independent and subject to SCF governance, evaluation criteria, and final approvals in accordance with the rules set forth in the SCF Handbook.

3.2 No Undue Influence. Referrers shall not, directly or indirectly, represent, imply or suggest that their referral confers any advantage or rights to any SCF awards,influences SCF decisions, constitutes an endorsement, sponsorship or approval by SDF and/or SCF, or creates any agency relationship between SDF/SCF and Referrers, except to the extent explicitly provided by the referral mechanism as set forth in the Referral Rules herein.

4. Referral Submission & Attribution

4.1 Submission Channels. Referrals must be submitted via the designated referral form and/or through inclusion of the referral code in the SCF application.

4.2 Attribution Logic. Attribution occurs when:

  • A referral is submitted with a valid referral code, and

  • The Referred Party applies to SCF and includes a matching code at the time of their initial SCF application submission, or SCF operations can confidently match the referral submission to the applicant record.

4.3 Right to Resolve Conflicts. If multiple referrers claim the same applicant, SCF may apply a “first valid submission” rule or other tie-break policy (e.g., earliest timestamp, clearest evidence, applicant-confirmed source). All determinations made by SCF under this section are final and not subject to appeal or reconsideration.

4.4 Discretionary Referral Rewards. A Referrer may, at the sole discretion of SCF, be considered for eligibility to receive up to 1% of the total SCF award actually granted to a Referred Party as a result of the Referrer’s referral, denominated in XLM (the “Referral Reward”). The availability, amount, form, and timing of any Referral Reward are entirely discretionary, may be modified, suspended, or terminated by SCF at any time, with or without notice, and are not guaranteed. A Referrer may receive multiple such rewards for separate successful referrals, subject to an aggregate cap of 6 Referral Rewards per application cycle. The disbursement of the Referral Rewards to the Referrers (including the amount and timeline of such disbursement) will correspondingly be tied to the completion of the final Build Award Tranche and the actual disbursement of funds of the final Build Award Tranche to the Referred Parties.

At SCF’s sole discretion, a Referrer may be offered the option to receive a Referral Reward through one or more alternative methods, which may include, without limitation: (i) direct disbursement of funds to the Referrer; (ii) disbursement of the Referral Reward to a named project; in each case as approved by SCF.

Referrers are not eligible to receive additional Referral Rewards for any subsequent funding of the same project, including any follow-on SCF funding, funding from SDF Matching Fund, or funding from SDF Enterprise Fund. SCF may, in its sole discretion, allow multiple Referrers to share a referral reward, provided that the total combined reward does not exceed the 1% cap. The determination of whether a referral is “successful,” whether a Referral Reward will be offered, and the calculation of any Referral Reward shall be made solely by SCF and shall be final and binding.

Current employees of SDF are not eligible to receive any Referral Rewards.

4.5 Tax, Compliance, and Verification. Referrers are solely responsible for any tax, reporting, or compliance obligations arising from the Referral Rewards. Referrers must complete all applicable KYC/KYB processes as required by SDF before receiving any Referral Rewards.

4.6 XLM Valuation. To determine the number of XLM equal to the USD value of any Referral Award, the USD valuation of XLM shall be calculated using the CF Stellar Lumens-Dollar Settlement Price as administered, maintained, and reported by the cryptocurrency index provider CF Benchmarks Ltd. (using the ticker “XLMUSD_RR”) (available at https://www.cfbenchmarks.com/indices/XLMUSD_RR), or, if such settlement price is unavailable or reasonably suspected by SDF to be unreliable, the settlement price as reported on a substantially similar and equally reputable cryptocurrency index provider as determined by the SDF in its sole discretion. The USD valuation of XLM for any particular Award shall be calculated using the CF Stellar Lumens-Dollar Settlement Price (or other agreed upon settlement price) reported on the day such Award is scheduled to be paid. The Referrers acknowledge and understand that XLM is a highly risky and volatile asset, and that SDF does not provide any representations, warranties, or guarantees of its value.

5. Conduct Requirements

5.1 Good Faith. Referrers must act in good faith at all times and refrain from engaging in spam, low-effort mass submissions, or misrepresentation. Referrals should be thoughtful, genuine, and submitted with honest intent to support the SCF process. Referrers must not manipulate, coerce, or otherwise improperly influence the SCF evaluation process.

5.2 Anti-Fraud. Referrers may not submit fabricated teams, impersonate individuals, create duplicate identities, or otherwise attempt to deceive SCF. Any attempt to manipulate the referral program, artificially inflate submissions, or misrepresent relationships, affiliations, or qualifications will be considered fraudulent. 5.3 Conflicts of Interest. Referrers must disclose any material conflicts of interest at the time of referral, including but not limited to financial interest, team membership, advisory roles or other relationships that could reasonably affect impartiality. Disclosure of a conflict does not automatically disqualify a referral but SCF may consider such conflicts in scoring, recognition, or award decisions.

5.4 Compliance and Anti-Kickback. Referrers must comply with all applicable laws, regulations, third-party rights, and SCF/SDF rules in connection with their referrals. Referrers may not offer, solicit, or accept any kickbacks, bribes, or other improper incentives in connection with referrals. Referrals made in violation of any law, regulation, or third-party right are prohibited.

5.5 SCF Rights. SCF reserves the right, in its sole discretion, to immediately nullify, revoke, or withhold any Referral Awards if it reasonably suspects or determines that a referral was submitted in violation of these rules, or in connection with fraud, misrepresentation, undisclosed conflicts of interest, illegal activity, or any other improper conduct.

6.1 Consent to Share. Referrers represent and warrant that they have obtained all necessary permissions and consents from the Referred Party to share Referred Party’s contact information and any related project materials with SCF and/or SDF for the purposes contemplated under this program. 6.2 Data Handling. SCF will use submitted information for intake triage, communication, evaluation routing, reporting, program administration, and other program operations, and will process such information in accordance with applicable law and the privacy policy located here: https://www.stellar.org/privacy-policy.

6.3 Retention. Referral records and related information may be retained for operational, legal, compliance, and audit purposes in accordance with SDF policies. Referrers and Referred Parties expressly consent to such data retention, and such consent shall remain in effect for a period of three (3) years following the conclusion of the SCF program or initiative in which the Referrer or Referred Party last participated.

7. Recognition and “Quality Flags”

7.1 Recognition. SCF may, at its sole discretion, recognize Referrers whose referrals demonstrate strong alignment with SCF program goals or quality standards. Recognition is optional, not guaranteed, and may take different forms from time to time (e.g., newsletter mentions or leaderboards). Referrers hereby consent to the use of their personal information for such purposes and any other applicable purposes as further set forth in the SCF Official Rules.

7.2 Quality Flags. SCF may apply quality indicators (“Quality Flags”) to referrals that are low-fit, incomplete, misleading, fraudulent, or otherwise inconsistent with SCF program standards. Quality flags may affect eligibility for recognition or other discretionary program benefits (including the Referral Rewards) and may prompt a review of Referrer’s participation status.

8. Referral Status, Suspension, and Termination

8.1 Status Changes. SCF may update a Referrer’s participation status (including marking a Referrer as inactive, suspended, or removed) based on such Referrer’s inactivity, non-responsiveness, prior Quality Flags on referrals, material policy non-compliance, or program changes.

8.2 Termination. SCF may discontinue a Referrer’s participation in the Referral Program, or modify or suspend the Referral Program (in part or in whole), at any time with or without notice, subject to applicable law and internal policy.

9. Disclaimers

9.1 No Agency. Referrers act solely as independent participants in the Referral Program and are not agents, representatives, or employees of SDF/SCF unless separately engaged in such a capacity under a formal agreement. Referrers do not have authority to bind SCF or SDF in any way.

9.2 No Warranty. The Referral Program and any associated benefits, including Referral Rewards and recognition, are provided “as is”, at SCF’s sole discretion, and may be modified, paused, or discontinued at any time without notice. SCF and SDF make no representations or warranties, express or implied, regarding the Referral Program, including its availability, suitability, or any specific outcomes.

9.3 No Recourse / Limitation of Liability. To the maximum extent permitted by applicable law, Referrers and Referred Parties agree that SCF, SDF, and their affiliates, officers, directors, and employees shall not be liable for any loss, damage, or claim arising out of or in connection with participation in the Referral Program, including any Referral Rewards, recognition, or decisions regarding eligibility, quality assessments, or status changes. Referrers and Referred Parties waive any right to seek damages, restitution, or other remedies from SCF or SDF in connection with the Referral Program.

9.4 Confidentiality. Referrers may have access to non-public information regarding the Referral Program, Referred Parties, or related initiatives. Referrers agree to maintain the confidentiality of such information, using it solely for the purpose of participating in the Referral Program, and not to disclose or use it for personal or third-party gain, except as required by law. This obligation continues for three (3) years following the conclusion of the Referral Program or any related engagement.

10. Communications

Referrers agree to receive program communications related to onboarding, referrals, and performance reporting, and agree to comply with communication guidelines provided during onboarding.
